1. About these terms

These terms govern your use of www.adwisemarketing.in, operated by AdWise Marketing from RSMJ Tower, 40th A Cross Road, near Post Office, Kottapalya, Jayanagar 9th Block, Bengaluru 560069. By using the site you accept them. Client engagements are additionally governed by the individual proposal and scope of work we sign with you; where the two conflict, the signed proposal wins.

2. Using this website

You may browse, read and share our content freely. You may not scrape the site at a rate that degrades it for others, attempt to gain unauthorised access to any system, submit false information through our forms, or use the site to distribute malware or unlawful material.

3. Enquiries are not a contract

Submitting a form, requesting a free SEO audit or receiving a proposal from us does not create a binding engagement. Work begins only when a scope of work is agreed in writing and, where applicable, the first invoice is settled.

4. Fees and payment

• Retainers are invoiced monthly in advance unless the proposal says otherwise.
• Advertising spend is billed directly by the platform to your own account and is not part of our fee.
• Invoices are payable within 7 days. Prolonged non-payment may lead us to pause work after written notice.
• All fees are exclusive of GST, which is charged at the prevailing rate.

5. Your responsibilities

To do our job we need timely access to your advertising, analytics and website accounts, prompt feedback on drafts, and accurate information about your business, products and claims. Delays in these move timelines accordingly. You confirm that any material you supply is accurate and that you hold the rights to it.

6. Ownership

Advertising accounts, analytics properties, domains and hosting stay registered in your name throughout and after the engagement. On full payment of the relevant invoices, ownership of the deliverables we create for you — creative, copy, code and reports — passes to you. We retain ownership of our internal tools, templates, frameworks and know-how, and we may reference the work in our portfolio unless you ask us in writing not to.

7. Third-party platforms

We work inside platforms we do not control, including Google, Meta, LinkedIn and YouTube. Their policies, pricing, algorithms and account decisions can change without notice. We will always advise you on compliance, but we are not liable for platform-side actions such as ad disapprovals, account suspensions or algorithm changes.

8. No guarantee of results

We commit to a defined scope of work, professional execution and honest reporting. We do not guarantee specific rankings, lead volumes, revenue or return on ad spend, because those depend on factors outside our control including your offer, pricing, sales follow-up and market conditions. Any figures in a proposal are informed estimates, not promises.

9. Confidentiality

Each side will keep the other's non-public business information confidential and use it only to perform the engagement. This survives the end of the engagement.

10. Termination

Either side may end a retainer with 30 days written notice. Work completed up to the end of the notice period is payable. On termination we transfer outstanding deliverables, remove our access from your accounts, and hand over documentation on request.

11. Limitation of liability

To the extent permitted by law, our total liability arising from an engagement is limited to the fees you paid us in the three months before the claim. We are not liable for indirect or consequential loss, including lost profits, lost data or loss of goodwill. Nothing here limits liability for fraud or anything else that cannot lawfully be excluded.

12. Governing law

These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute.
